These terms and conditions ("Agreement") govern your use of "Grofirst" (legally known as Grofirst Digital store LLP) as a registered vendor. By registering and using our platform, you agree to be bound by this Agreement. Please read these terms carefully.

This document is an electronic record in terms of IT Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the IT Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures. This document is published in accordance with the provisions of Rule 3 (1) of the IT (Intermediaries guidelines) rules, 2011 that require publishing the rules and regulations, privacy policy and terms of use for access or usage of “GroFirst” service. The domain name grofirst.app (herein after referred to as "Platform") is owned by Grofirst Digital Store LLP a Limited Liability Partnership incorporated under the Limited Liability Partnership Act, 2008 with its registered office.

1. Registration and Approval

1.1 Doct/Clinic Registration: To become a listed Doctor or Clinic on our Platform, you must complete the registration process, providing accurate and up-to-date information.

1.2 Eligibility: To register as a Doctor or Clinic, you must be at least 18 years old and legally capable of entering into a binding contract as per Indian Contract Act, 1872. Registration details of Doctors/Clinics must be provided accurately.

1.3 Approval: We reserve the right to accept or reject applications at our sole discretion. If approved, you will receive access to the Doctor/Clinic dashboard.

2. Obligations

2.1 Listings: Doctors/Clinics are solely responsible for the details provided in your listing.

2.2 Timing: Doctors/Clinics must ensure the availability of of doctor(s) on the times listed on their profile and any change in the time must be updated correctly without any fail.

2.3 Alteration/Cancellation: Doctors/Clinics must notify the app and patients of any changes or cancellations to their availability.

2.4 Profile Management: Doctors/Clinics responsible for ensuring their profile information is accurate and up to date.

2.5 Rights of Usage: Doctors/Clinics can list their profile after the registration and payment. In order to take bookings through the platform, Doctors/Clinics should pay the subscription amount.

2.6 Compliance: Doctors/Clinics must comply with all applicable laws, regulations, and industry standards.

3. Fees and Payments

3.1. Fees: “Grofirst” may charge fees for using the platform, which will be outlined in a separate fee schedule.

3.2. Refunds: If in case any Doctor(s)/Clinic(s) cancel the subscription, they are not entitled for any refund.

3.3 Billing: Doctor(s)/Clinic(s) are responsible for providing accurate billing information.

4. Consultation & Fees

4.1 Consultation: Doctors/Clinics are solely responsible for the time slots listed in the platform and any change or cancellation on the timing should be communicated to the platform and patients accurately.

4.2 Fees/Payments: “Grofirst” will not be collecting the consultation fees or any other payments related to the consultation or any tests. Doctors/Clinics can charge the fees and payments directly to the customers/patients.

5. Intellectual Property

5.1. Ownership: Doctors/Clinics retain ownership of their profile content.

5.2. License: By listing services on “Grofirst”, Doctors/Clinics grant “Grofirst” a non-exclusive, worldwide, royalty-free license to use, display, and promote their services on the platform.

6. Termination

6.1 Termination Rights: Either party may terminate this Agreement with notice if the other party breaches its obligations. We may also terminate your Doctor(s)/Clinic(s) account for any reason at our sole discretion.

6.2 Consequences: Upon termination, you must cease using the Platform, and any outstanding fees or obligations will remain due.

7. Liability and Indemnification

7.1 Limitation of Liability: Doctors/Clinics are liable for their own actions and omissions when using the platform.To the extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or punitive damages.

7.2 Indemnification: Doctors/Clinics must indemnify the app against any third-party claims arising from their use of the app.

8. Privacy and Data Protection

Doctors/Clinics personal information will be collected, used, and stored in accordance with our Privacy Policy.

9. Dispute Resolution

Any disputes arising from this Agreement shall be resolved through mediation or arbitration, as specified in our separate dispute resolution policy.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of High Court of Kerala.

11. Updates and Amendments

11.1 Amendments: We may update these terms from time to time. Changes will be communicated to you, and your continued use of the Platform after such changes constitutes acceptance.

11.2 Entire Agreement: This Agreement constitutes the entire understanding between “Grofirst” and the vendor, superseding any prior agreements.
